This policy governs access to materials related to Midnight Evergreen Inc., specifically access through one of our websites (“Websites”), one of our software applications (“Apps”), or by interacting with us offline (together with the Websites and Apps, the “Platform”). The Platform is operated by Midnight Evergreen Inc. (“Midnight Evergreen,” “we,” “us,” or “our”). This Privacy Policy (“Policy”) applies to the Platform and explains the type of information we collect about you (“Information”), how Information is used by us, how Information is shared by us with other parties, and what controls you have regarding your Information.We encourage you to read this Policy carefully. If you have any questions or wish to exercise your rights and choices, please contact us as set out in the “Contact Us” section.

Any updates or modifications to this Policy will be posted to our Websites on this page. By using or accessing the Platform, you signify that you have read, understand and agree to be bound by our Terms of Use and our collection, use and disclosure practices, and other activities as described in this Policy. If you do not agree, discontinue use of the Platform.

Our Platform is operated out of the United States but can be accessed worldwide. Residents of the United Kingdom, Switzerland, and the European Economic Area (“EEA”), which includes the member states of the European Union, Norway, Iceland, and Lichtenstein, should consult the sections of this Policy relating to the “International Data Transfers” and “Additional Disclosures for Data Subjects in Europe” below. For personal data transferred from the United Kingdom, the EEA, or Switzerland, we will provide appropriate safeguards, such as through the use of standard contractual clauses.

INFORMATION WE COLLECT Information You Provide We collect the following types of Information through our Platform or when you interact with us offline. We collect Information when you register an account, update your profile, access our content, make a purchase, participate in a promotion, or contact customer support. The categories of Information we collect include:“Contact Data” such as your name, e-mail address, postal address, and phone number and other information that can be used to directly identify you (which, in some cases, may include certain Device Information). “Account Credentials” such as your username, password, password hints, and information for authentication and account access. “Demographic Data” such as your age, gender, and country. “Billing Data” such as your payment instrument number (such as a credit or debit card number), expiration date, and security code as necessary to process your payments. “Profile Data” such as your interests, inferences, preferences and favorites. “Content” such as content within any messages you send to us (such as feedback or questions to customer support). You may choose to voluntarily provide other information to us that we do not request, and, in such instances, you are solely responsible for such information.

Information We Collect Automatically We also collect Information automatically when you use the Platform. The categories of Information we automatically collect include (collectively, “Automatically Collected Data”):

“Device Information” which is information relating to the computer or device you are using when you access our Platform, such as your computer’s IP address, your mobile device identifiers (including Apple IDFA or an Android Advertising ID), the type of browser and operating system you are using, the identity of your internet service provider, and your device and browser settings, including regional and language settings. “Usage Data” which is data related to your use of the Platform such as the pages you visit, the sites you use before or after visiting ours, your actions within the Platform, the type of content or advertisements you have accessed, seen, forwarded and/or clicked on, WiFi connections, date and time stamps, log files, and diagnostic, crash, website, performance logs and reports, in-game actions and behavior, and other statistics. “Game Play Data” which is information about our users’ game play history and progression through the games available on the Platform. “Cheat-Prevention Data” which is information we automatically collect in order to prevent, detect, and address cheating on the Platform. “Location Data” which is imprecise location data (such as location derived from an IP address or data that indicates a city or postal code level) and, with your consent, precise location data (such as latitude/longitude data). Information from Other Sources We also collect Information from other sources. The categories of sources from which we collect Information include:

Social networks with which you interact. Partners that offer co-branded services, sell or distribute our products, or engage in joint marketing activities. Publicly-available sources, including data in the public domain.HOW WE USE THE INFORMATION WE COLLECT We collect the Information described above for business and commercial purposes in accordance with the practices described in this Policy. Our business purposes for collecting and using Information include:

- to provide you with certain services offered by the Platform, including if you choose to contact us or otherwise communicate - with us in any way, subscribe or opt-in to our newsletter, alerts, or other communications;

- to participate in a contest or promotion, including verifying your eligibility and delivering prizes in connection with your entries;

- to respond to your requests, communicate with you regarding the Platform and our content;

- to develop and send you advertising and promotional communications about our and other entities’ products, offers, - promotions, rewards, events, and services;

- to guard against, deter, and address potential cheating, fraud, breaches of policies or terms, and threats or harm;

- to respond to and provide you with the applicable services, features or functionality associated with your submission to - customer support;

- to monitor and analyze trends, usage, and activities;to conduct research, including focus groups and surveys;

- to improve the Platform and other Midnight Evergreen websites, apps, marketing efforts, products and services;

- to fulfill any other purpose at your direction with notice to you and your consent.

When you submit Information through the Platform, whether by directly providing it to us upon request or voluntarily disclosing to us, you are giving your consent to the collection, use and disclosure of your Information as set forth in this Policy. Notwithstanding the above, we may use Information that does not identify you (including Information that has been aggregated or de-identified) for any purpose except as prohibited by applicable law. Automatically Collected Data Whether or not you voluntarily provide Information to us, any time you visit our Platform, we, our advertising and analytics providers, or our service providers collect, process, and share Automatically Collected Data in accordance with this Policy. This Automatically Collected Data may be used in furtherance of the purposes described above and also in aggregate form for internal business purposes, such as optimizing the Platform, evaluating the popularity of content, generating statistics and developing marketing plans, and otherwise for general administrative, analytical, research, optimization, and security purposes.

Information to and from Social Networks and Other Websites and Platforms We may provide functionality that will allow you to connect to our Platform through a social network such as Facebook, Twitter or Instagram (each, a “Social Network”). If you connect through a Social Network, we may collect Information from your profile, such as your name, username, and e-mail address, and we will use that Information for the purposes set forth herein. In addition, our Platform offers social sharing features which will allow you to “Share” or “Like” on a Social Network. If you decide to use such features, it may allow the sharing and collection of Information both to and from such Social Network.

We may offer our content through a Social Network. Any Information you provide to us when you engage with our content (such as through our brand page or via Facebook Messenger) is treated in accordance with this Policy. Also, if you publicly reference our Platform on a Social Network (e.g., by using a hashtag associated with Midnight Evergreen in a tweet or post), we may use your reference on or in connection with our Platform.

Our Platform also includes links that hyperlink to other websites, platforms, and other services not operated or controlled by us.We may offer you the ability to link your Midnight Evergreen account to another service in order to retrieve certain data about your account on that service. For example, if you link your account to a gaming platform such as Discord, Xbox, or PlayStation, the linking may allow us to obtain information such as your gaming username, contact address, photo or avatar, game performance, and high scores. You should check the privacy policy and terms of use of such other parties, including each Social Network, before using such features described above because the Information collected by such other party remains subject to that party’s own policies and practices, including what information they share with us, your rights and choices on their services and devices, and whether they store information in the U.S. or elsewhere.

SHARING OF INFORMATION We share your Information in accordance with the practices described in this Policy. The categories of parties with whom we share information include:

Service Providers. We contract with companies or individuals to provide certain services related to the functionality and features of the Platform, including content streaming, contact and hosting services, software development, data management, management of quizzes and polls, marketing, and administration of contests and other promotions. We call them our “Service Providers.”Vendors and Other Parties. We share information with vendors and other parties for analytics and advertising related purposes. These parties may act as our service providers, or in certain contexts, independently decide how to process your information. For more information on advertising and analytics, see the “Automated Data Collection, Analytics, and Advertising” section below. Affiliates. We share information with our affiliates and related entities, including where they act as our service providers or for their own internal purposes. Partners. We share information with our partners in connection with offering co-branded services, selling or distributing our products, or engaging in joint marketing activities.Promotions. Our promotions may be jointly sponsored or offered by other parties. When you voluntarily enter a promotion, we share Information as set out in the official rules that govern the promotion as well as for administrative purposes and as required by law (e.g., on a winners list). By entering a promotion, you agree to the official rules that govern that promotion, and may, except where prohibited by applicable law, allow the sponsor and/or other entities to use your name, voice and/or likeness in advertising or marketing materials. Facilitating Requests. We share information at your request or direction. Consent. We share information with notice to you and your consent. Finally, we share your Information: (i) in response to subpoenas, court orders, or other legal process; to establish or exercise our legal rights; to defend against legal claims; or as otherwise required by law. AUTOMATED DATA COLLECTION, ANALYTICS, AND ADVERTISING We use certain automatic analytics and tracking technologies to assist us in performing a variety of functions, including storing your Information, collecting Information, understanding your use of the Platform and customizing the content offered to you on the Platform. Such technologies include: Cookies. Cookies are text files placed in your computer’s browser to store your preferences and act as a unique tag to identify your browser. We use two types of cookies: session cookies and persistent cookies. Session cookies make it easier for you to navigate our Websites and expire when you close your browser. Persistent cookies help to understand site and Internet usage and to improve or customize the Platform and the content, offerings, or advertisements you see on or off the Platform. For example, we use cookies to personalize your experience on the Platform or remember any settings and preferences you have chosen. Persistent cookies may remain on your device for extended periods of time, and generally may be controlled through your browser settings. Most web browsers automatically accept cookies, but you can usually configure your browser to prevent this. However, not accepting cookies may make certain features of the Platform unavailable to you. Web Beacons. We also use “web beacons” or clear GIFs, or similar technologies, which are small pieces of code placed on a web page or in an contact, to monitor the behavior and collect data about the visitors viewing a web page or contact. For example, web beacons may be used to count the users who visit a web page or to deliver a cookie to the browser of a visitor viewing that page. Web beacons may also be used to provide information on the effectiveness of our contact campaigns (e.g., open rates, clicks, forwards, etc.). Web beacons are used in connection with cookies to track activity by a particular browser on a particular device. We may incorporate pixels from separate entities that allow us to track our conversions, bring you advertising both on and off the Platform, and provide you with additional functionality, such as the ability to connect our Platform to your Social Network account.Device Identifiers and SDKs. We also sometimes use, or partner with publishers or app developer platforms that use, Software Development Kits (“SDKs”) that are incorporated into the Platform to collect Information, such as device identifiers (e.g., IDFAs and Android Advertising IDs), geolocation information, and other information about your device or use of the Platform. An SDK may act as a web beacon (see “Web Beacons” above). For example, our Apps may include SDKs, which is code that sends information about your use to a server. These SDKs allow us to track our conversions, bring you advertising on and off the Platform, and provide you with additional functionality, such as the ability to connect our Platform to your Social Network account. Log Files. We use log files, which are files that record events that occur in connection with your use of the Platform. Location-Identifying Technologies. We use location-identifying technologies to collect your location. For example, GPS, WiFi, and Bluetooth may be used to collect precise location data when you consent to precise location tracking through our Apps. Location data may be used for purposes such as verifying your device’s location and delivering or restricting relevant content and advertising based on that location.We use analytics services, such as Google Analytics, to help us understand how users access and use the Platform. In addition, we work with agencies, advertisers, ad networks, and other technology services to place ads about our products and services on other websites and services. For example, we place ads through Google and Facebook that you may view on their platforms as well as on other websites and services. As part of this process, we may incorporate tracking technologies into our own Platform (including our Websites, Apps and contacts) as well as into our ads displayed on other websites and services. Some of these tracking technologies may track your activities across time and services for purposes of associating the different devices you use, and delivering relevant ads and/or other content to you (“Interest-based Advertising”). We also use audience matching services to reach people (or people similar to people) who have visited our Platform or are identified in one or more of our databases (“Matched Ads”). This is done by us uploading a customer list to another party or incorporating a pixel from another party into our own Platform, and the other party matching common factors between our data and their data or other datasets. For instance, we may incorporate the Facebook pixel and SDK on our Websites and Apps and may share your contact address with Facebook as part of our use of Facebook Custom Audiences. As indicated above, vendors and other parties may act as our service providers, or in certain contexts, independently decide how to process Information. We encourage you to familiarize yourself with and consult their privacy policies and terms of use. DATA RETENTION We retain the Information we collect as described in this Policy for as long as you use the Platform or as necessary to fulfill the purpose(s) for which it was collected, resolve disputes, establish legal defenses, conduct audits, pursue legitimate business purposes, enforce our agreements, and comply with applicable laws. PRIVACY AND SECURITY We take reasonable administrative, physical, and technical security safeguards to help protect Information against loss, theft, misuse, unauthorized access or disclosure, alteration, and destruction. However, please remember that no transmission of data over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we strive to protect your Information, we cannot ensure or warrant the security of any Information that you transmit to us or from us, and you do so at your own risk. If you believe your Information is being improperly used by us or any third party, please immediately notify us via contact at support@midnight.io. CHILDREN The Platform is intended for and targeted to adults. We do not knowingly collect or solicit personal information (as defined by the U.S. Children’s Online Privacy Protection Act, or “COPPA”) from children. If you are under 13, please do not send any Information about yourself to us, including your name, address, telephone number, or contact address. In the event that we learn that we have collected personal information from a child, we will delete that personal information in accordance with COPPA. If you are a parent or guardian and you believe that we have collected personal information in violation of COPPA, please contact us at support@midnight.io. We will remove the personal information in accordance with COPPA. We do not knowingly “sell,” as that term is defined under the CCPA, the personal information of minors under 16 years old who are California residents without prior consent. If you are a California resident under 18 years old and registered to use the Platform, you can ask us to remove any content or information you have posted on the Platform. To make a request, contact us at the contact address set out in “Contact Us” section with “California Under 18 Content Removal Request” in the subject line, and tell us what you want removed. We will make reasonable good faith efforts to remove the post from prospective public view, although we cannot ensure the complete or comprehensive removal of the content and may retain the content as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. YOUR RIGHTS AND CHOICES Accounts You may access, update, or remove certain information that you have provided to us through your account by visiting your account settings. Please note that we will retain and use information about you as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. Opting Out of Communications As described above, we use the Information we collect from you to send you newsletters or other communications, including those promotional in nature. If you do not want to receive such communications, you can opt-out by using the unsubscribe link at the bottom of our communications. You may also at any time opt-out of receiving communications from us by sending an e-mail to support@midnight.io with the subject line “Opt-Out of Contact Communications.” Please note that you cannot opt-out of non-promotional contacts, such as those about your account, transactions, servicing, or our ongoing business relations. If you have opted-in to receive push notifications on your device, you can opt-out at any time by adjusting the permissions in your device or uninstalling our Apps. Please note that your opt-out is limited to the contact address or device used and will not affect subsequent subscriptions. Disallowing Cookies and Location Data Collection You can opt-out of the collection and use of certain Information, which we collect about you by automated means, by changing the settings in the device you use to access the Platform. In addition, your browser may tell you how to be notified and opt-out of receiving certain types of cookies. If you use multiple browsers on your device, you will need to instruct each browser separately. Your ability to limit cookies is subject to your browser settings and limitations. Please note, however, that without cookies you may not be able to use all of the features of the Platform. Do Not Track Your browser settings may allow you to automatically transmit a “Do Not Track” signal to online services you visit. Note, however, there is no industry consensus as to what site and app operators should do with regard to these signals. Accordingly, unless and until the law is interpreted to require us to do so, we do not monitor or take action with respect to “Do Not Track” signals. For more information on “Do Not Track,” visit http://www.allaboutdnt.com.App and Location Technologies You can stop all collection of Information via an App by uninstalling the App. You can also reset your device Ad ID at any time through your device settings, which is designed to allow you to limit the use of information collected about you. You can stop all collection of precise location data through an app by uninstalling the app or withdrawing your consent through your device settings.Please be aware that if you disable or remove tracking technologies some parts of the Platform may not function correctly. Analytics and Advertising Google provides tools to allow you to opt out of the use of certain information collected by Google Analytics at https://tools.google.com/dlpage/gaoptout and by Google Analytics for Display Advertising or the Google Display Network at https://www.google.com/settings/ads/onweb/. The companies we work with to provide you with targeted ads are required by us to give you the choice to opt-out of receiving targeted ads. Most of these companies are participants of the Digital Advertising Alliance (“DAA”) and/or the Network Advertising Initiative (“NAI”). We will request that the applicable party not serve you matched ads based on Information we provide to it. Alternatively, you may directly contact the applicable party to opt-out.You may also limit our use of Information collected from or about your mobile device for purposes of serving targeted ads to you by going to your device settings and selecting “Limit Ad Tracking” (for iOS devices) or “Opt-out of Interest-Based Ads” (for Android devices). Please note that if you opt-out using any of these methods, the opt-out will only apply to the specific browser or device from which you opt-out. We are not responsible for the effectiveness of, or compliance with, any opt-out options or programs, or the accuracy of any other entities’ statements regarding their opt-out options or programs.Unlinking Your Accounts If you have linked your Midnight Evergreen account with certain other services, such as Discord, Xbox, or PlayStation, you may unlink your accounts at any time by visiting your Midnight Evergreen account settings. Please note that unlinking your accounts will not affect any information previously shared through the linking. Midnight Evergreen is not responsible for the data practices of any other entities, and we recommend that you carefully review their privacy policies and terms of use.INTERNATIONAL DATA TRANSFERS If you are accessing the Platform outside the United States, including in the EEA, we transfer Information for processing in the United States and other jurisdictions. By providing Information to us for the purpose of using the Platform, or otherwise using the Platform, you consent to the processing of such Information in the United States and other jurisdictions as set out in this Policy. The transfer of Information to the United States and other jurisdictions as set out in this Policy is necessary for the performance of a contract between you and us for your use of the Platform.Please note that the United States and other jurisdictions may have data protection laws different from those in your country of residence. For personal data transferred from the United Kingdom, the EEA, or Switzerland, we will provide appropriate safeguards, such as through the use of standard contractual clauses. Right to Know and Delete You have the right to know certain details about our data practices in the past 12 months. We may require specific information from you to help us verify your identity and process your request. If we are unable to verify your identity, we may deny your requests to know or delete.Right to Opt-Out To the extent Midnight Evergreen sells your personal information as the term “sell” is defined under the CCPA, you have the right to opt-out of the sale of your personal information by us to third parties at any time. You may submit a request to opt-out by clicking Do Not Sell My Personal Information or contacting us at support@midnight.io.Authorized Agent You can designate an authorized agent to submit requests on your behalf. However, we will require written proof of the agent’s permission to do so and verify your identity directly. Right to Non-Discrimination You have the right not to receive discriminatory treatment by us for the exercise of any your rights. Shine the Light Under certain circumstances, California Civil Code Section 1798.83 states that, upon receipt of a request by a California customer, a business may be required to provide detailed information regarding how that business has shared that customer’s personal information (as that term is defined in Cal. Civ. Code Section 1798.83) with third parties for direct marking purposes.
